Agreement to These Terms

These Terms of Use govern your access to and use of westsidebehavioralcare.com, Westside Behavioral Care-owned subdomains, including the appointment-scheduling application at appointments.westsidebehavioralcare.com, and any other Westside Behavioral Care-owned online feature or application that links to these Terms. Together, these are referred to as the “Website.”

The Website is owned and operated by Westside Behavioral Care, Inc. (“Westside,” “WBC,” “we,” “us,” or “our”).

These Terms form a binding agreement between you and WBC. By accessing or using the Website, you acknowledge that you have read and agree to these Terms. If you use the Website on behalf of another person, you represent that you have the legal authority to do so. If you do not agree to these Terms, do not use the Website or submit information through it.

Please also review WBC’s Privacy Policy and Cookie Policy, which describe how information is collected and used through the Website.

The Website is operated from Colorado and is intended primarily for users in the United States. Services described on the Website may not be available in every location.

WBC’s Role and Independent Providers

WBC provides administrative and technology-supported services that help people learn about behavioral health providers, identify potential provider matches, request or schedule a first appointment, and obtain limited insurance and billing support.

Therapists, prescribers, and other healthcare professionals listed on or matched through the Website provide clinical services through their own private practices or independent groups. These professionals are referred to in these Terms as “Independent Providers.”

Independent Providers exercise their own professional and clinical judgment. Except where applicable law provides otherwise, they are not employees, agents, partners, or joint venturers of WBC. WBC does not direct or control an Independent Provider’s diagnosis, treatment recommendations, prescribing decisions, clinical documentation, recordkeeping, or decisions about whether and how to provide care.

Independent Providers are responsible for the clinical services they provide and for maintaining their clinical treatment records. WBC does not create or maintain an Independent Provider’s psychotherapy notes or clinical treatment records as the treating provider’s record custodian. WBC may maintain limited administrative, scheduling, insurance, billing, and communications information needed to provide its services and meet its legal obligations.

Questions about diagnosis, treatment, medications, clinical records, ongoing scheduling, telehealth suitability, cancellation policies, fees, or other healthcare matters should be directed to the Independent Provider.

General Information and No Clinical Relationship

Information on the Website is provided for general educational and informational purposes. It is not medical, psychiatric, psychological, legal, financial, or other professional advice, and it is not a substitute for evaluation, diagnosis, or treatment by a qualified healthcare professional.

Do not disregard or delay seeking professional care because of information you read on the Website.

Provider listings, search results, matching assistance, reviews, and other Website content do not constitute a clinical recommendation, endorsement, guarantee, or warranty that a particular provider is appropriate for you.

Browsing the Website, submitting a form, sending WBC an email, receiving a provider match, requesting an appointment, or using the scheduling application does not establish a therapist-client, prescriber-patient, or other healthcare relationship. A clinical relationship is established only through the Independent Provider’s own acceptance, intake, informed-consent, and treatment process.

WBC does not guarantee that any Independent Provider will accept you as a client or patient, have an appointment available, provide a particular treatment, participate with your insurance plan, or achieve a particular clinical result.

Mental Health Emergencies

The Website, its forms, WBC email addresses, and the appointment-scheduling application are not emergency services and should not be used to seek emergency or urgent assistance.

Do not wait for a response from WBC or an Independent Provider before seeking emergency assistance.

Eligibility and Services for Minors

The Website is intended to be used by adults. You must be at least 18 years old to submit an appointment request independently, unless your use is otherwise permitted by applicable law and has been authorized through an appropriate process.

A parent, legal guardian, or other person with lawful authority may use the Website to seek services for a minor. By doing so, that person represents that they have the legal authority to provide the requested information and arrange the applicable services.

Information You Provide

Information you submit through the Website must be accurate, current, complete, and provided in good faith. You must not impersonate another person, provide knowingly false or misleading information, or submit information about another person unless you have the legal authority to do so.

Please do not include confidential or sensitive health information in a general Website form. Do not use general Website forms or ordinary email to send psychotherapy notes, detailed clinical records, or other sensitive treatment information unless WBC or an Independent Provider specifically requests the information through an appropriate channel.

Submitting a form does not establish a therapist-client relationship.

WBC may use information you provide to respond to your inquiry, assist with provider matching, schedule a first appointment, support insurance or billing activities, administer and protect the Website, comply with law, and carry out the other purposes described in the Privacy Policy.

You must not submit material that is unlawful, threatening, fraudulent, malicious, defamatory, infringing, or otherwise violates another person’s rights.

Where applicable, the person arranging services for a minor may be responsible for charges under the Independent Provider’s financial policies.

Consent to treatment, confidentiality, access to records, parental or guardian involvement, and communication with or about a minor are governed by applicable law and the Independent Provider’s policies. Nothing in these Terms is intended to limit any privacy, consent, or confidentiality right that a minor may have under applicable law.

WBC may decline, suspend, or terminate access when it reasonably believes that a person lacks the legal authority required to use the Website or arrange services for another person.

Provider Information, Matching, Scheduling, and Insurance

Provider profiles, appointment availability, practice locations, accepted insurance plans, specialties, fees, and other directory information may be supplied or updated by Independent Providers and may change without notice.

WBC attempts to present useful and current information, but you should confirm important details directly with the Independent Provider before beginning care.

WBC may use the information you provide to identify potential provider matches. This matching process is administrative and does not constitute a clinical assessment or determination that a provider is appropriate for your particular needs.

Appointment requests remain subject to provider availability and the applicable confirmation process. WBC generally assists with arranging the first appointment. Unless you are told otherwise, the Independent Provider is responsible for ongoing scheduling, cancellations, treatment planning, and communication after care begins.

Information about insurance participation, benefits, eligibility, authorizations, copayments, deductibles, coinsurance, or estimated costs is not a guarantee of coverage or payment. Coverage and financial responsibility are ultimately determined by the insurance plan, the Independent Provider’s participation status, applicable benefit rules, and the services provided. You should confirm your benefits and financial responsibilities with your insurance plan and Independent Provider.

Online Therapy and Telehealth

Online therapy, telehealth, and other remote clinical services are provided by Independent Providers, not by WBC.

Each Independent Provider is responsible for determining whether telehealth is clinically appropriate, obtaining any required informed consent, confirming identity and physical location when required, complying with professional licensing rules, establishing emergency procedures, maintaining clinical records, and selecting and operating the technology used for care.

An Independent Provider may use telehealth technology available through the provider’s electronic health record, another platform selected by the provider, or a platform that WBC makes available to participating providers. Making a technology platform available does not make WBC the treating healthcare provider and does not give WBC control over the Independent Provider’s clinical services.

WBC does not routinely attend, monitor, or access the content of clinical telehealth sessions. When a provider uses technology made available by WBC, authorized WBC personnel may provide requested technical support when necessary or access information when required by law.

Telehealth may involve risks such as interrupted connections, equipment failure, software incompatibility, unauthorized access within a user’s environment, or limitations in responding to an emergency remotely. You are responsible for using a reasonably secure device and network, protecting access credentials, and choosing a private setting when possible.

WBC does not guarantee that a telehealth platform will always be available, uninterrupted, error-free, or compatible with your equipment. An Independent Provider may determine that telehealth cannot be provided based on your physical location, the provider’s professional authorization, clinical considerations, or technical limitations.

These Terms govern your use of WBC’s Website, administrative services, and any technology access WBC makes available. The Independent Provider’s informed-consent documents, privacy practices, treatment policies, financial policies, cancellation policies, and other practice documents separately govern clinical care.

Telehealth is not an emergency service. If you are experiencing a mental health emergency, call 911 or 988.

Acceptable Use

You may use the Website only for lawful purposes and in accordance with these Terms.

You must not use the Website in a way that is unlawful, fraudulent, deceptive, threatening, abusive, harmful, or likely to impair the Website’s availability, security, operation, or accessibility.

You must not introduce or distribute viruses, spyware, ransomware, Trojan horses, worms, keystroke loggers, malicious code, or other technology intended to damage, monitor, disrupt, or gain unauthorized access to the Website, WBC systems, or another person’s device or information.

You must not attempt to gain unauthorized access to restricted portions of the Website, circumvent security controls, probe the Website for vulnerabilities without authorization, interfere with Website traffic, or impose an unreasonable burden on the Website or its infrastructure.

Unless WBC has expressly authorized the activity in writing or through a published technical interface, you must not use automated tools or systematic processes to scrape, crawl, mine, extract, copy, monitor, index, or harvest Website content or data. Prohibited activities include data mining, data extraction, data harvesting, screen scraping, reproducing the Website through frames or iframes, and automated rewriting or “article spinning.”

This restriction does not prohibit ordinary indexing by general-purpose public search engines when conducted in accordance with WBC’s published technical instructions.

You must not harvest provider names, contact details, directory information, or other Website content for unsolicited marketing, recruiting, lead generation, resale, or commercial database development.

You must not use the Website to transmit unsolicited commercial communications, advertisements, spam, or other marketing messages without WBC’s express written permission.

You must not impersonate WBC, an Independent Provider, another user, or any other person; falsely suggest an affiliation with WBC; infringe intellectual property or privacy rights; or use Website content in a misleading or deceptive manner.

Access, Restricted Areas, and Security

WBC may restrict, suspend, block, or terminate access to all or part of the Website when reasonably necessary to enforce these Terms, protect users or systems, respond to a security concern, comply with law, maintain the Website, or protect WBC’s legitimate interests.

WBC may also modify, suspend, or discontinue any Website feature or service, temporarily or permanently, with or without notice, to the extent permitted by law.

If WBC provides you with a username, password, access link, authentication code, or other security credential now or in the future, you must keep it confidential and must not allow another person to use it. You must promptly notify WBC if you believe that a credential has been lost, disclosed, or used without authorization.

You must use appropriate caution when accessing restricted information from a public or shared device. WBC may disable or reset a credential if it reasonably believes the credential has been compromised or used in violation of these Terms.

Intellectual Property

The Website and its content, including text, graphics, logos, photographs, videos, audio, software, design, arrangement, databases, and other materials, are owned by or licensed to WBC and are protected by copyright, trademark, trade-secret, and other intellectual property laws.

WBC grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Website for your personal, noncommercial purposes in accordance with these Terms.

Your browser may temporarily cache Website materials as part of normal browsing. You may also print or download a reasonable number of pages for your own personal, noncommercial use. You may use sharing features made available through the Website as those features are designed to be used.

Except as permitted by these Terms, applicable law, or WBC’s prior written permission, you must not reproduce, republish, distribute, sell, license, modify, create derivative works from, publicly display, publicly perform, transmit, store, or commercially exploit Website content.

No ownership right or other interest in the Website or its content is transferred to you. All rights not expressly granted are reserved. WBC’s names, logos, service names, and related marks may not be used without prior written permission.

Submissions, Reviews, and Material Authorized for Publication

When you submit information for a private inquiry, appointment request, provider match, insurance or billing matter, or other administrative purpose, you authorize WBC to receive, store, transmit, and use that information only as reasonably necessary for the requested purpose, Website administration and security, legal compliance, and the purposes described in the Privacy Policy.

Private appointment requests, communications, and other private form submissions are not licensed to WBC for public use.

If you submit a review, testimonial, article, photograph, or other material and expressly request or authorize WBC to publish it, you grant WBC a nonexclusive, royalty-free license to reproduce, format, display, and distribute the material for the purpose and period permitted by your authorization and applicable law.

Any use of a patient testimonial or information that identifies or could reasonably identify a patient remains subject to any separate authorization required by law. WBC is not obligated to publish submitted material and may decline, remove, or make reasonable formatting or length edits without materially changing its meaning.

You represent that you have the rights and permissions necessary to submit material you authorize for publication and that the material does not violate the law or another person’s rights.

Approximate Location and Map Features

The Website may use an approximate general location inferred from technical information or a location that you voluntarily select or enter. This may be used to improve Website functionality, display relevant service areas or office locations, and understand aggregate Website use.

Approximate location and map information may be incomplete or inaccurate. WBC does not use Website location features to determine your precise location during an emergency or clinical telehealth session.

Maps, addresses, directions, distances, and similar information may rely on data supplied by other sources. You should independently confirm an office address and obtain appropriate directions before traveling to an appointment.

Information about WBC’s use of location-related data is provided in the Privacy Policy.

Third-Party Websites, Platforms, and Content

The Website may contain links to, display content from, or interact with websites, applications, review services, mapping information, insurance resources, electronic health record systems, telehealth platforms, or other services that are not controlled by WBC.

An Independent Provider may also direct you to a platform or service selected and operated by that provider or another company.

Third-party services may be governed by their own terms, privacy notices, and security practices. WBC is not responsible for the availability, accuracy, policies, security, or operation of a third-party service that WBC does not control. The presence of a link or integration does not necessarily constitute WBC’s endorsement of the third party.

You should review the applicable terms and privacy information before using an outside service.

Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND WBC’S WEBSITE-BASED ADMINISTRATIVE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

WBC DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT, TO THE EXTENT THOSE WARRANTIES MAY LAWFULLY BE DISCLAIMED.

WBC does not warrant that the Website will always be available, uninterrupted, secure, error-free, compatible with every device, or free from harmful components. WBC also does not warrant that Website content will always be complete, current, accurate, or suitable for a particular purpose.

WBC does not guarantee a provider match, appointment availability, insurance coverage, cost estimate, treatment result, or the quality or outcome of clinical services provided by an Independent Provider.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WBC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, LICENSORS, AND WEBSITE OR TECHNOLOGY VENDORS WILL NOT BE LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO:

YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE WEBSITE;

YOUR RELIANCE ON WEBSITE CONTENT, PROVIDER PROFILES, MATCHING INFORMATION, INSURANCE INFORMATION, REVIEWS, MAPS, OR DIRECTIONS;

THE LOSS, INTERRUPTION, CORRUPTION, OR UNAUTHORIZED ACCESS TO INFORMATION;

A THIRD-PARTY WEBSITE, PLATFORM, SERVICE, OR INTEGRATION; OR

THE INDEPENDENT CLINICAL OR BUSINESS ACTS OR OMISSIONS OF AN INDEPENDENT PROVIDER.

These limitations apply regardless of the legal theory asserted and even if WBC was advised that the damages were possible.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. This includes liability for fraud, fraudulent misrepresentation, willful misconduct, or death or personal injury caused by WBC’s negligence to the extent applicable law prohibits such a limitation.

Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless WBC and its officers, directors, employees, and representatives from third-party claims, liabilities, losses, damages, judgments, costs, and reasonable attorneys’ fees arising from:

Your unlawful or unauthorized use of the Website;

Your material violation of these Terms;

Material you submit that infringes another person’s intellectual property, privacy, or other legal rights;

Your knowing submission of false or misleading information; or

Your submission of information about another person without the legal authority to do so.

This indemnification obligation does not apply to the extent a claim was caused by WBC’s own negligence, willful misconduct, or other conduct for which indemnification may not lawfully be required.

Changes to the Website or These Terms

WBC may update these Terms from time to time. When changes are made, WBC will post the revised Terms and update the effective date at the top of the page.

Revised Terms apply beginning on their stated effective date. Your continued use of the Website after that date constitutes acceptance of the revised Terms. WBC will provide additional notice of material changes when required by law.

WBC may change, add, remove, suspend, or discontinue Website content, features, or functionality at any time, subject to applicable law.

Governing Law and Venue

These Terms and any dispute arising from or relating to these Terms, the Website, or WBC’s Website-based administrative services are governed by the laws of the State of Colorado, without regard to conflict-of-law principles.

Except where applicable law requires another forum, you and WBC agree that any legal proceeding will be brought exclusively in the state courts located in Denver County, Colorado, or the United States District Court for the District of Colorado. You consent to the personal jurisdiction and venue of those courts.

Severability, Waiver, and Assignment

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, that provision will be enforced to the greatest extent permitted by law or modified to the minimum extent necessary to make it enforceable. The remaining provisions will continue in effect.

WBC’s failure to enforce a provision of these Terms is not a waiver of that provision or of WBC’s right to enforce it later.

You may not assign or transfer your rights or obligations under these Terms without WBC’s prior written consent. WBC may assign these Terms in connection with a merger, reorganization, sale of assets, change in control, or transfer of the Website or related operations.

Entire Agreement

These Terms, together with WBC’s Privacy Policy, Cookie Policy, and any additional terms presented for a particular WBC-owned Website feature, constitute the entire agreement between you and WBC concerning your use of the Website and WBC’s Website-based administrative services. They replace prior versions of WBC’s website terms covering the same subject.

These Terms do not replace an Independent Provider’s informed-consent documents, Notice of Privacy Practices, treatment policies, financial policies, cancellation policies, telehealth policies, or other documents governing clinical care. They also do not alter obligations imposed by applicable law.

If you and WBC have entered into a separate written agreement that expressly governs the same subject and conflicts with these Terms, the separate written agreement controls to the extent of the conflict.
